MERCHANDISE DESIGNER AGREEMENT Version 1.0 - Effective Date: January 2025 This Merchandise Designer Agreement ("Agreement") is entered into between Manny HD ("Company") and the individual signing up as a Designer ("Designer"). 1. SCOPE OF WORK The Designer agrees to create original merchandise designs and brand assets, including but not limited to: - Apparel designs (t-shirts, hoodies, accessories) - Logo and brand identity elements - Digital artwork for promotional materials - Custom illustrations and graphics 2. DESIGN REQUIREMENTS - All designs must be original and not infringe on existing copyrights - Designs must align with the Company's brand aesthetic - Designer must provide source files in agreed-upon formats - Revisions may be requested within reasonable limits 3. INTELLECTUAL PROPERTY - Company will own all rights to commissioned designs upon payment - Designer retains the right to showcase work in their portfolio - Designer warrants that all work is original and free of third-party claims - Designer may not resell or redistribute commissioned designs 4. COMPENSATION - Payment terms will be established for each project - Designer will submit invoices upon project completion - Payment will be made within 30 days of invoice approval - Rush projects may include additional compensation 5. TIMELINE AND DELIVERABLES - Project timelines will be agreed upon before commencement - Designer must communicate any potential delays promptly - Final deliverables must meet specified quality standards 6. REVISIONS AND APPROVAL - Initial concepts will be presented for approval - Reasonable revisions will be accommodated - Final approval required before project completion 7. CONFIDENTIALITY Designer agrees to maintain confidentiality of unreleased projects and sensitive business information. 8. TERMINATION Either party may terminate this agreement with 30 days written notice. 9. GOVERNING LAW This agreement shall be governed by the laws of [Jurisdiction].
